The Go/No-Go Machine (“GNG Machine”) constitutes portable electronic testing equipment designed and intended solely for the purpose of sports equipment compliance verification and measurement. The equipment is manufactured by Automated Design Corporation (ADC). The power supply provided with the machine supports dual voltage operation (110V–240V); however, the power plug supplied with the unit is configured exclusively for use with standard United States electrical receptacles. It is the sole responsibility of the customer to obtain any necessary adapters, converters, or additional equipment required for use outside of the United States.

The GNG Machine is identified as Model No. ADC-GNG-A01 and is described as a portable compliance testing device. The unit has a net weight of approximately fifteen (15) pounds and a gross shipping weight of approximately eighteen (18) pounds, with overall dimensions of approximately 20 inches by 18 inches by 8 inches. The country of origin is the United States, and the applicable Harmonized Tariff Schedule (HTS) code is 9031.80.8080. Each unit is assigned a unique serial number, referenced as TBD ADC-25XXX at the time of manufacture and shipment.

All equipment is leased FOB or FCA from the shipping locations of Boca Raton, Florida, USA, or Romeoville, Illinois, USA. Title to and risk of loss shall transfer to the customer upon delivery of the equipment to the carrier at the point of shipment. The customer shall be solely responsible for all outbound freight, shipping costs, insurance, and any related charges from the point of shipment to the final delivery destination. In the case of international transactions, the customer shall also be solely responsible for all applicable import duties, tariffs, value-added taxes (VAT), customs fees, brokerage fees, and compliance with all local laws and regulations governing the importation of such equipment.

Upon expiration or termination of the twenty-four (24) month lease term, the Lessee shall be required to return the equipment to Pickle Pro Labs at its designated return location. The Lessee shall have a grace period of fourteen (14) calendar days from the lease end date to provide proof of shipment, which must include valid and verifiable tracking information from a recognized carrier. In the event the Lessee fails to provide such proof of shipment within the fourteen (14) day grace period, the Lessee shall incur a fee of six hundred dollars ($600) per month. Such fees shall accrue on a monthly basis and continue until proof of shipment has been received and verified by Pickle Pro Labs. The Lessee shall remain fully responsible for the equipment, including any risk of loss or damage, until the equipment has been shipped and such shipment has been confirmed.
